Terms of Use

These terms cover your use of the branchnote app and this website. They're written to be readable; please read them anyway.

1. Agreement

These Terms of Use ("Terms") are an agreement between you and Branchnote LLC ("we", "us"), covering the branchnote mobile application and the website at branchnote.io (together, the "Service"). By installing or using the Service you agree to these Terms. If you don't agree, please don't use it.

2. Licence

We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use one copy of the branchnote app on devices you own or control, for your own personal or internal business use, in accordance with these Terms and the usage rules of the app store you obtained it from.

You may not:

  • copy, redistribute, sell, rent, sublicense, or lease the app, except as the app store's own family-sharing features permit;
  • reverse-engineer, decompile, or disassemble the app, except to the extent that applicable law expressly permits it despite this restriction;
  • remove or obscure any copyright or other proprietary notices; or
  • use the Service to break the law.

3. Your content

Your notes are yours. We claim no ownership of, and no licence to, anything you write in branchnote. As described in our privacy policy, your notes are stored on your own device and are never transmitted to us — we have no access to them and no ability to moderate, review, or recover them.

You are solely responsible for what you store in the app and for complying with any laws that apply to it.

4. Backups and the risk of data loss

We hold no copy of your notes and cannot recover them under any circumstances. Your notes are stored in a database on your device. That database is not encrypted, and neither is any backup file the app creates.

branchnote can create a backup file at your request, but doing so is your decision and the file is stored wherever you choose to put it. Because it is not encrypted, anyone who obtains that file can read your notes, and you are responsible for where you keep it. Deleting the app, resetting or losing your device, forgetting your app passcode, or a device or storage failure may each result in permanent, unrecoverable loss of your notes.

You accept this risk as a condition of using the Service, and you are responsible for creating backups, for safeguarding any backup files you create, and for keeping your own separate copies of anything you cannot afford to lose.

5. Availability and changes

We may update, change, or discontinue the Service, or any of its features, at any time. We may also update these Terms; if we make material changes we will change the "last updated" date above and, where appropriate, note it in the app's release notes. Continuing to use the Service after a change means you accept the revised Terms.

6. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will preserve your data.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

7. Limitation of liability

To the maximum extent permitted by law, Branchnote LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, or business interruption, arising out of or relating to your use of the Service — including, without limitation, any loss of your notes — whether based in contract, tort, negligence, strict liability, or otherwise, and whether or not we were advised of the possibility.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

8. Apple App Store

The following applies to the branchnote app obtained from the Apple App Store:

  • These Terms are between you and Branchnote LLC only, and not with Apple. Apple is not responsible for the app or its content.
  • Apple has no obligation to provide any maintenance or support for the app. Support requests go to support@branchnote.io.
  • If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app.
  • Apple is not responsible for addressing any claim by you or a third party relating to the app, including product liability, legal or regulatory non-compliance, or consumer protection claims.
  • Apple is not responsible for investigating, defending, settling, or discharging any third-party claim that the app infringes intellectual property rights.
  • You represent that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. Government list of prohibited or restricted parties.
  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

9. Intellectual property

The branchnote name, logo, wordmark, and the app itself are the property of Branchnote LLC and are protected by copyright and trademark law. These Terms grant you no rights in them beyond the licence in section 2.

10. Termination

This licence lasts until terminated. It ends automatically if you breach these Terms, and you may end it at any time by deleting the app. Sections 3, 4, 6, 7, 8, and 9 survive termination.

11. Governing law

These Terms are governed by the laws of the state in which Branchnote LLC is organized, and by applicable United States federal law, without regard to conflict-of-law principles. If any provision is found unenforceable, the rest remains in effect.
